2. Platform Description and Limitations

101core is a professionally managed, shared Salesforce Financial Services Cloud (FSC) platform for independent insurance agencies, operated by 101 Weston Labs and powered by borrowedtyme (BTCoreCloud, LLC). The Platform operates within a shared Salesforce instance used by multiple participating agencies.

While commercially reasonable administrative, technical, and logical controls are applied to maintain data separation, absolute isolation equivalent to a dedicated Salesforce org cannot be guaranteed. Visitors and prospective participants acknowledge and accept the residual risk inherent in a shared environment.

3. No Warranties

THE SITE, THE PLATFORM, AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, 101WL AND BTCORECLOUD, LLC (“BTCC”) MAKE NO WARRANTY THAT:

• the Site or Platform will meet your specific requirements or expectations;
• access to the Site or Platform will be uninterrupted, timely, secure, or error-free;
• results obtained from use of the Site or Platform will be accurate or reliable; or
• any errors in the Site or Platform will be corrected.

4. Third-Party Services

The Platform relies on third-party services and technologies, including Salesforce Financial Services Cloud. 101WL and BTCC make no representations regarding, and are not responsible for, such third-party services, including their quality, interoperability, functionality, availability, pricing, or any changes or outages affecting them. References to third-party products or services on this Site do not constitute an endorsement or recommendation.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL 101WL, BTCC, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• indirect, incidental, special, consequential, exemplary, or punitive damages;
• loss of revenue, profits, business, data, goodwill, or anticipated savings;
• loss or corruption of data or security breaches; or
• any other losses arising out of or in connection with use of this Site or the Platform,

even if 101WL or BTCC has been advised of the possibility of such damages. To the extent liability cannot be fully excluded, the aggregate liability of 101WL shall not exceed the fees actually paid by the applicable agency in the twelve (12) months preceding the claim.

6. Data Ownership and Privacy

Agency participants retain ownership of their agency-specific data uploaded or entered into the Platform. 101WL and BTCC will not sell, rent, license, or otherwise commercialize agency-specific data. Agency data is not used for advertising, marketing, data brokerage, or to train generalized artificial intelligence or machine learning models unrelated to the Platform.

7. No Professional or Legal Relationship

Visiting this Site or submitting an inquiry does not create an attorney-client, advisor-client, or any other professional relationship between you and 101WL or BTCC. Participation in the 101core platform is governed exclusively by the Participation & Platform Access Agreement and applicable Order Form executed between 101WL and the participating agency.

8. Intellectual Property

All content on this Site, including text, graphics, logos, and software descriptions, is the property of 101WL or its licensors and is protected by applicable intellectual property laws. The btcore platform, including all software, configurations, workflows, automations, and data models, is the exclusive intellectual property of BTCoreCloud, LLC. Unauthorized reproduction, distribution, or use is strictly prohibited.

9. Pricing and Service Information

Pricing and service descriptions shown on this Site (including the one-time onboarding fee, per-user monthly fees, and optional bookkeeping and data migration services) are provided for informational purposes and are subject to change without notice. Final pricing and service terms are governed by the applicable Order Form. 101WL reserves the right to modify, suspend, or discontinue any aspect of the Platform or services at any time.

10. Governing Law

This Disclaimer and your use of this Site are governed by the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising in connection with this Site shall be subject to the exclusive jurisdiction of the courts located in Ohio.
