Terms of Service
This page summarizes the Participation & Platform Access Agreement between 101 Weston Labs, LLC (“101WL”) and your agency. The Platform is operated by 101WL and powered by borrowedtyme’s btcore agency management capabilities, built on Salesforce Financial Services Cloud. By accessing 101core, you agree to these terms.
1. Platform Access
Subject to payment of applicable fees and compliance with this Agreement, your agency is granted a limited, non-exclusive, non-transferable, revocable right to access the Platform solely for internal business purposes during the Term set forth in your Order Form.
This Agreement does not constitute a resale, sublicense, or transfer of Salesforce or borrowedtyme licenses. Specific details — including pricing, user counts, term, and optional services — are set forth in your Order Form.
2. Shared Environment Disclosure
The Platform operates within a shared Salesforce org used by multiple participating agencies. 101WL and borrowedtyme implement commercially reasonable administrative, technical, and logical controls to restrict access to agency-specific data and prevent cross-agency access.
Absolute isolation equivalent to a dedicated Salesforce org cannot be guaranteed. By using the Platform, you accept the residual risk inherent in a shared environment.
If dedicated isolation is a hard requirement, ask us about the btcorecloud dedicated org option.
3. Ownership
The Salesforce org is owned by 101WL. All btcore software, configurations, workflows, automations, data models, and intellectual property are owned exclusively by borrowedtyme. Your agency acquires no ownership rights in the Platform or its underlying technology.
4. Third-Party Technology
The Platform relies on third-party services including Salesforce Financial Services Cloud. 101WL and borrowedtyme are not responsible for third-party availability, changes, outages, or pricing changes outside their control.
5. Fees & Payment
Your agency agrees to pay all applicable setup fees, subscription fees, per-user charges, and optional service fees as set forth in your Order Form. Fees are billed and payable in accordance with the Order Form and any associated payment authorization.
Additional services beyond those described in this Agreement require a separate written agreement or statement of work.
6. Your Responsibilities
Your agency is responsible for:
- The accuracy and legality of all data uploaded to the Platform
- Compliance with applicable laws and insurance regulations
- The conduct of all users under your account
- Internal access governance — including who has credentials and what they can do
7. Acceptable Use
You may not misuse the Platform. Prohibited conduct includes:
- Attempting to access another agency’s data
- Circumventing security controls
- Using the Platform in a way that degrades performance or security for others
- Violating applicable law
- Using the Platform for any purpose other than your agency’s internal business operations
If 101WL or borrowedtyme reasonably determines that your agency has misused the Platform or poses a risk to platform integrity, security, or other participating agencies, access may be suspended or terminated with or without notice. Accrued payment obligations survive termination.
8. Your Data
You own your agency-specific data. 101WL and borrowedtyme may access, host, process, transmit, and store your data solely to provide, maintain, support, and improve the Platform and related services.
We will never sell your data. Agency data will not be sold, rented, licensed, disclosed, or commercialized. It will not be used for advertising, marketing, resale, data brokerage, or to train generalized AI or machine learning models unrelated to the Platform.
Aggregated, anonymized data that does not identify your agency, your customers, or any individual may be used for platform analytics and improvement.
9. btcore IP Restrictions
The Platform includes proprietary software, configurations, workflows, automations, data models, methodologies, and documentation developed by borrowedtyme. You are granted a limited right to use this IP solely through the Platform for internal business purposes during the Term.
You may not copy, reverse engineer, recreate, migrate, or use btcore IP to develop competing products or services, nor retain or use btcore IP following termination. These restrictions survive termination of this Agreement.
10. Data Export & Backup
You may access your agency-specific data at any time during the Term.
Upon termination or expiration, you are entitled to one (1) backup copy of your data at no cost, provided you submit a written request within 30 days. Structured data is exported in CSV format. Unstructured data (attachments, documents) is made available via an external storage platform such as Amazon S3 or Google Drive for a reasonable access period.
Self-extraction is always free. If you request borrowedtyme personnel to perform extraction or delivery (other than a Dedicated Org migration), those services are billed at $150/hour.
11. Dedicated Org Option
Your agency may elect to purchase a dedicated Salesforce org powered by btcorecloud under a separate agreement with borrowedtyme. If you transition from the shared Platform to a Dedicated Org, borrowedtyme will not charge a fee to migrate your agency-specific data, provided the migration occurs within a commercially reasonable scope and timeframe. Salesforce licensing and additional services may require separate agreements.
12. Confidentiality
Each party will protect the other’s confidential information using reasonable commercial safeguards and will not disclose such information except as permitted under this Agreement.
13. Disclaimer of Warranties
The Platform and services are provided “as is” and “as available,” without warranties of any kind, express or implied.
14. Limitation of Liability
To the maximum extent permitted by law, the aggregate liability of 101WL and borrowedtyme shall not exceed the fees paid by your agency under the applicable Order Form in the twelve (12) months preceding the claim.
15. Term & Termination
The initial term and any renewal terms are set forth in your Order Form. 101WL may suspend or terminate access if required by law, Salesforce policy, platform security considerations, or agency breach of this Agreement.
16. Governing Law
This Agreement, together with each executed Order Form, constitutes the entire agreement between the parties and supersedes all prior discussions or agreements relating to the subject matter herein.
